Ryan B. Beach
Associate
Ryan joined Scudder Law Firm in 2004 as a law clerk and then as an associate in 2005 after graduation from law school.
Ryan's practice focuses on representing public and private companies in the areas of mergers and acquisitions, corporate compliance, Exchange Act reporting and compliance, securities offerings, business formation, and general corporate matters. A sampling of his experience includes:
- Representing a privately held buyer in the leveraged acquisition of a publicly traded company with an enterprise value of approximately $90 million as the lead associate attorney.
- Representing a casino management and real estate holding company in a divestiture transaction valued at approximately $77 million as the lead associate attorney.
- Representing the buyer in the purchase of a majority of the stock of a distribution company followed by a squeeze-out of the minority shareholders as the lead associate attorney.
- Lead associate attorney representing a private M&A banking advisor in all buy-side and sell-side engagements.
- Assisting in the representation of both buyers and sellers in merger, acquisition, and divestiture transactions ranging in size from under $500,000 to over $300 million.
Additionally, Ryan has significant experience representing borrowers in the documentation of credit facilities, accounts receivable securitizations, and transaction financing packages, and representing issuers and underwriters in public stock offerings.
Ryan received his J.D., with distinction, in 2005 from the University of Nebraska College of Law. In 2002 he received his B.A. in Economics, with honors, from Brigham Young University.
