Dean’s practice focuses on mergers and acquisitions, corporate compliance, Exchange Act reporting and compliance, securities offerings, business formation, and general corporate matters. His experience includes:- Representing a middle-market private equity firm, with over $2 billion in capital under investment, in numerous acquisitions and related transactions.
- Representing both buyers and sellers in merger, acquisition, and divestiture transactions ranging in size from under $500,000 to over $300 million.
- Preparing and filing Exchange Act Reports for a $700 million revenue company and several other publicly traded companies.
- Representing borrowers in the documentation of credit facilities, receivable securitizations, and transaction financing packages.
Dean received his J.D. in 2007 from the University of Minnesota Law School. While in law school, Dean served as Managing Editor for the Minnesota Journal of International Law and was placed on the Dean's List. Dean also received a First Year Legal Writing Best Brief Award and was a finalist in the ABA Regional Negotiation Competition. In 2003, he received his B.A. in Political Science from the University of Utah with a minor in Russian.
