Partner

Bill joined Scudder Law Firm as an associate in 1998 and was named a partner in 2004.

Bill practices in the areas of corporate finance, mergers and acquisitions, securities, and corporate law, with a particular focus on debt financing, including syndicated credit facilities, second lien and mezzanine financing, acquisition financing, and asset backed securitization facilities. He also has represented clients in connection with the evaluation and implementation of various risk management strategies involving the use of derivative securities including variable prepaid forward contracts and collared loans. Recent examples of Bill's experience include:
  • Representation of corporate borrower in negotiating and documenting a $75 million senior secured credit facility and $40 million of mezzanine debt to finance the acquisition of a publicly traded truckload carrier via a negotiated merger.
  • Representation of corporate borrower in negotiating and documenting $378 million of financing comprised of a $50 million revolving credit facility, a $185 million tranche B term loan, and a $143 million accounts receivable securitization facility, the proceeds of which were used to finance the acquisition of a publicly traded truckload carrier via a tender offer and back-end merger.
  • Representation of the majority owner of a closely held company in procuring and documenting $225 million of mezzanine and construction financing necessary to commence construction of the first phase of a 223 acre mixed use development project.
  • Representation of a publicly traded transportation company in negotiating and documenting a $44 million sale-leaseback transaction involving its headquarters facility.
  • Representation of numerous corporate clients in negotiating and documenting syndicated, revolving credit facilities ranging in size from $20 million to $300 million.
  • Representation of corporate borrowers in securitizing over $500 million in accounts receivable.
  • Representation of sellers in connection with the sale of over $25 million in securities through variable prepaid forward contracts.
Since 2003, Bill also has worked extensively with the majority interest owner of Coyotes Holdings, LLC to obtain debt financing for the Phoenix Coyotes National Hockey League franchise.

Bill received his J.D. in 1998 from Cornell University Law School in Ithaca, New York. In 1995, he received his B.A., summa cum laude, in Finance from the University of Northern Iowa in Cedar Falls, Iowa, where he was named the outstanding graduating senior in finance.
